Thank you for using One Horizon. Please read these Terms carefully. By using One Horizon or signing up for an account, you agree to these Terms. This is a legal agreement.

1. Definitions and Introduction

One Horizon (the “Platform”) is a digital productivity and communication platform offered through onehorizon.ai that allows you to integrate tools, automate team workflows, and enhance team collaboration.

Our Team includes employees, independent contractors, and representatives (“our Team”). As a customer of the Platform or a representative of an entity that is a customer of the Platform, you are a “User” (or “you,” “customer,” “member,” or “account”).

These Terms, together with our Privacy Policy, Acceptable Use Policy, API Guidelines, Copyright Policy, and Brand Guidelines, govern your use of One Horizon. They apply to both free and paid accounts (with the exception of Enterprise plans, which are governed by a custom agreement).

2. Account

Eligibility

To use One Horizon, you must:

  • Be at least eighteen (18) years old and legally able to enter into contracts.
  • Complete the registration process.
  • Agree to these Terms.
  • Provide true, complete, and up-to-date contact information.

By using One Horizon, you represent and warrant that you meet all the above requirements and that you will not use the Platform in violation of any applicable laws or regulations. One Horizon may refuse service, close accounts, and change eligibility requirements at any time. We will notify you via email one day in advance of any account closure unless immediate action is required to protect security, safety, or the continuity of service for other Users.

Term

The term begins when you sign up for One Horizon and continues as long as you use the Platform. By signing up, you indicate your acceptance of these Terms. If you sign up on behalf of a company or other entity, you represent that you have the authority to accept these Terms on its behalf.

Closing Your Account

You or One Horizon may terminate this Agreement at any time and for any reason by giving notice to the other party. We may suspend your access to the Platform at any time, with or without cause.

For paid accounts, if you have paid for days during which you could not use the service because of a termination, you are entitled to a refund for those days.

Once terminated, we may permanently delete your account and all associated data. If you do not log in for 12 or more months, we may treat your account as “inactive” and delete it along with all associated data.

3. Changes to These Terms

We may modify these Terms by posting revised versions on our Website and notifying you via your last provided email address. Unless you terminate your account within ten (10) days of receiving notice, the new Terms will take effect immediately and apply to all continued or new use of One Horizon. We may also change the Platform or its features at any time.

4. Account and Password

You are responsible for maintaining the confidentiality of your account name and password and for any activity that occurs under your account. You must notify us immediately if you suspect any unauthorized use of your account. We are not responsible for any loss or damage arising from your failure to keep your password secure. For security reasons, we do not have access to your current password but can reset it upon request. We may ask questions to verify account ownership.

5. Account Disputes

We do not arbitrate disputes over account ownership. You agree not to request access to or information about any account that is not yours. Account ownership is determined based on the content and settings of the account. When multiple parties are involved, we will rely on the contact information provided for the account.

6. Payment

Pricing Changes

We may change our pricing plans at any time by posting a new pricing structure on our Website and notifying you via your last provided email address.

7. Rights

Proprietary Rights Owned by Us

You agree to respect our proprietary rights in the Website and the software used to provide One Horizon, including all patents, trademarks, service marks, trade secrets, and copyrights. You may only use our brand assets in accordance with our Brand Guidelines.

Proprietary Rights Owned by You

You represent and warrant that you either own or have permission to use all content you upload or share on the Platform. You retain ownership of such materials, and we may only use or disclose your content as described in these Terms and our Privacy Policy.

Privacy Policy

We may use and disclose your information in accordance with our Privacy Policy, which is incorporated herein by reference. The Privacy Policy explains how we collect, store, and use your data.

Right to Review Content

We may view, copy, and internally distribute content from your account to develop algorithms and tools (“Tools”) that help us identify problematic accounts. This data is anonymized and does not include any personal, sensitive, or similar information from you or others interacting with your projects.

8. Rules and Abuse

General Rules

When using One Horizon, you agree to:

  • Not use the Platform to create or facilitate illegal, immoral, or unethical content or interactions. The determination of what is considered immoral or unethical is at our discretion.
  • Ensure that any content you send complies with applicable laws.
  • Comply with our API Use Policy if you use our API.

If you violate these rules, we may suspend or terminate your account.

Reporting Abuse

If you believe that any User is violating these Terms, please notify us immediately. If you receive spam or other inappropriate communications that you believe originate from a One Horizon User, report it to our abuse team.

Bandwidth Abuse/Throttling

Our bandwidth is provided solely for use with One Horizon projects. We host images and data exclusively for platform use. We reserve the right to throttle your connection or sending capacity through our API at our discretion.

9. Compliance with Laws

You represent and warrant that your use of One Horizon will comply with all applicable laws and regulations, including but not limited to HIPAA, GDPR, CCPA, and similar laws. If you are located in, or interact with individuals in, the European Economic Area (EEA), you represent and warrant that:

  • You will clearly explain in writing how you plan to use any data collected, including its use with One Horizon.
  • You will obtain express consent for data transfers to One Horizon for processing, in compliance with your privacy policy.
  • You have complied with, and will continue to comply with, all data protection, electronic communication, and privacy laws applicable to your operations.
  • You have collected, stored, used, and transferred all data in accordance with relevant data protection laws.
  • You have the necessary permissions to allow One Horizon to process and send communications on your behalf.
  • You have signed our Data Processing Agreement, where applicable.

10. Liability

Limitation of Liability

To the maximum extent permitted by law, you assume full responsibility for any losses or damages resulting from your use of the Platform. Neither One Horizon nor our Team will be liable for any indirect, punitive, special, or consequential damages under any circumstances—even if advised of the possibility of such damages. Our total liability for all claims related to the Platform in any given month will not exceed the amount you paid for the Platform during the previous month.

No Warranties

To the maximum extent permitted by law, the Platform and its materials are provided on an “as-is” basis without any warranties, either express or implied, including warranties of merchantability or fitness for a particular purpose. As One Horizon serves various purposes, we cannot guarantee that it will meet your specific needs.

Indemnity

You agree to indemnify and hold One Horizon and our Team harmless from any losses, including attorney fees, arising from claims not allowed under these Terms due to any limitation of liability or other provision. You also agree to indemnify us from third-party claims resulting from actions taken by you or someone using your account that would violate these Terms.

Attorney Fees

If we initiate legal action against you for violating these Terms and prevail, you agree to pay reasonable attorney fees and any additional relief awarded by the court.

Equitable Relief

If you violate these Terms, we may seek injunctive or other equitable relief to prevent further breaches.

Subpoena Fees

If we are required to provide information in response to a subpoena related to your account, we may charge you for associated costs, including attorney and employee time.

11. Disclaimers

Neither One Horizon nor our Team is responsible for the actions or behavior of advertisers, linked websites, or other Users on the Platform.

12. Fine Print

Notice to U.S. Government End Users

The Platform and its documentation are classified as “Commercial Items” as defined by 48 C.F.R. §2.101, including “Commercial Computer Software” and “Commercial Computer Software Documentation.” These items are licensed to U.S. Government end users under the same rights as other end users. All rights are reserved under applicable copyright laws.

13. Assignments

You may not assign any of your rights or obligations under these Terms without our written consent. We may assign our rights and obligations to another entity at our discretion.

14. Force Majeure

We are not liable for delays or failures in the Platform’s performance caused by circumstances beyond our control, including but not limited to:

  • Acts of God
  • Changes in laws or regulations
  • Embargoes
  • War, terrorism, or riots
  • Natural disasters (fires, earthquakes, floods, etc.)
  • Power outages, internet failures, or third-party service disruptions
  • Labor strikes or similar actions

15. Survivability

Even if this Agreement is terminated, the following sections shall survive:

  • Proprietary Rights Owned by Us
  • Proprietary Rights Owned by You
  • Compliance with Laws
  • Limitation of Liability
  • No Warranties
  • Indemnity
  • Choice of Law
  • Severability
  • Entire Agreement

16. Severability

If any provision of these Terms is deemed unenforceable, that specific provision shall be modified or removed as minimally as necessary while the remaining Terms remain in full force and effect.

17. Interpretation

Headings and sidebar text are included solely for organizational purposes and do not affect the interpretation of these Terms.

18. Amendments and Waiver

Amendments or changes to these Terms will take effect only once posted on our Website and after notification is sent to your last provided email address. Failure to enforce any provision immediately does not constitute a waiver of our rights, and we may enforce those rights later.

19. No Changes in Terms at User Request

Due to the large number of Users, we cannot modify these Terms for any individual or group of Users.

20. Further Actions

You agree to provide any additional documentation and take any necessary actions to fulfill your obligations under these Terms.

21. Notification of Security Breach

In the event of a security breach affecting your account or data, we will promptly notify you, describe the incident, and outline the steps being taken to address it.

22. Notices

We will send notices to you via the last provided email or physical address or by posting them on our Website. Notices are deemed effective upon dispatch.

23. Entire Agreement

These Terms, together with our Privacy Policy, API Policy, and any additional terms you agree to when using specific features (“Additional Terms”), constitute the entire agreement between you and One Horizon, superseding all prior agreements, representations, and understandings. In the event of any conflict, the Additional Terms will prevail.

24. Choice of Law

These Terms and any disputes arising from them are governed by and construed in accordance with Dutch law. By using One Horizon, you consent to the exclusive jurisdiction of the courts in the Netherlands.
